1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the Govix website (govix.ai) and the Govix platform, including GapSure and any associated services or tools provided by Govix Limited (“we,” “us,” or “our”). By accessing or using our platform, you agree to be bound by these Terms.

If you are using our services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Services

Govix is a technology company building on AI. We build tools that make data trustworthy. Our first product, GapSure, helps regulated firms strengthen their compliance procedures by:

  • Mapping policies against a verified regulatory knowledge base
  • Identifying compliance gaps and scoring coverage
  • Generating AI-drafted improvements for review and approval
  • Producing a defensible audit trail linking every change to its regulatory source
  • Returning stronger procedures with full traceability

Our services are designed to assist and inform compliance decision-making. They do not constitute legal, regulatory, or professional advice.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use our services. If you are accessing the platform on behalf of a business, you represent that you are authorised to accept these Terms on its behalf.

4. Account Registration

To access certain features of our services, you may need to create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us promptly of any unauthorised access
  • Accept responsibility for all activity that occurs under your account

5. Acceptable Use

You agree not to:

  • Use our services for any unlawful purpose
  • Attempt to gain unauthorised access to our systems or other users’ accounts
  • Interfere with the operation of our services
  • Reverse engineer, decompile, or disassemble any part of our platform
  • Reproduce, redistribute, or resell our content or outputs without permission
  • Use our services to provide competing products or services

6. Intellectual Property

All content, software, trademarks, and intellectual property on the Govix website and platform are owned by or licensed to Govix Limited. You are granted a limited, non-exclusive, non-transferable licence to use our services in accordance with these Terms.

You retain ownership of data you submit to the platform. By submitting data, you grant us a limited licence to process it as necessary to provide our services.

7. Data Protection

Our collection and use of personal data is governed by our Privacy Policy. Where we process personal data on your behalf as part of the platform, separate data processing terms will apply.

8. Confidentiality

We treat all client data submitted to the platform as confidential. We will not disclose your data to third parties except as required to provide our services, comply with legal obligations, or as otherwise described in our Privacy Policy.

9. Disclaimers

Our services are provided “as is” and “as available.” While we strive for accuracy and reliability, we do not warrant that:

  • Our services will be uninterrupted, error-free, or secure
  • Outputs or mappings are exhaustive or constitute professional advice
  • Regulatory content is complete or current at all times

You are responsible for independently verifying compliance decisions. Govix does not replace qualified legal or compliance counsel.

10. Limitation of Liability

To the fullest extent permitted by law, Govix shall not be liable for any indirect, incidental, consequential, special, or exemplary damages arising from your use of our services, including but not limited to loss of profits, data, or business opportunities.

Our total aggregate liability for any claims arising from these Terms shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Govix, its directors, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms or misuse of our services.

12. Termination

We may suspend or terminate your access to our services at any time for breach of these Terms or for any other reason with reasonable notice. Upon termination, your right to use our services ceases immediately. Provisions that by their nature should survive termination will continue to apply.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated through our website or by email. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Jersey, Channel Islands. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the Royal Court of Jersey.
